These Supplemental Terms ("API Terms") apply in addition to the general terms and conditions (AGB) of grapeminds GmbH. In the event of any conflict between the AGB and these API Terms, the API Terms shall prevail.
The API Terms govern the use of the public API provided by grapeminds GmbH by business customers ("API User").
grapeminds GmbH provides a technical interface ("public API") through which defined data may be retrieved and – where expressly supported – transmitted.
The API is provided solely for integrating the API User's own systems with Grapeminds.
No entitlement exists to the provision of specific endpoints or functionalities. grapeminds GmbH may modify, extend, or discontinue API features at any time, provided that the legitimate interests of the API User are taken into account.
grapeminds GmbH grants the API User a non-exclusive, non-transferable, and revocable license to use the public API within the scope of the subscribed API plan.
Use of the API is permitted exclusively for the internal purposes of the API User.
Distribution, sublicensing, disclosure, storage, permanent archiving, or reuse of API data outside the specific integration purpose is prohibited without the prior written consent of grapeminds GmbH.
The use of API data for developing or enriching external databases, data products, or analytical models is also prohibited unless explicitly permitted in writing.
The API may only be used in accordance with the technical specifications, authentication schemes, and permitted usage classes.
A Fair Use Policy applies. grapeminds GmbH reserves the right to apply technical limitations, such as rate limits, quotas, or access restrictions, to ensure operational stability.
Excessive automated requests, abusive traffic patterns, or any conduct that may impair the performance or security of the API is prohibited.
In the event of misuse, instability, or imminent risk, grapeminds GmbH may throttle, restrict, or suspend API access temporarily or permanently.
The API User may only transmit personal data to the API if they are legally permitted to do so.
grapeminds GmbH processes personal data exclusively in accordance with applicable data protection laws, including the GDPR.
Where required by law, a Data Processing Agreement (DPA) will be concluded.
The API User is responsible for obtaining all necessary consents from its end users.
grapeminds GmbH strives to provide the API with a high level of availability but does not guarantee uninterrupted operation.
Maintenance windows may occur without prior notice if technically necessary.
Endpoints may be modified or deprecated, taking into account the legitimate interests of the API User.
API keys, tokens, and other credentials must be kept strictly confidential and may not be shared with third parties.
The API User is responsible for all requests executed using its credentials.
Any suspected misuse must be reported to grapeminds GmbH without delay.
Use of the API is subject to the subscribed API plan.
Billing is carried out through the designated billing system (e.g., Stripe / Laravel Cashier).
grapeminds GmbH reserves the right to charge additional fees if usage exceeds contractual limits or if exceptional system load results from the API User's activities.
grapeminds GmbH may amend these API Terms with reasonable notice. Continued use of the API after the effective date of such changes constitutes acceptance of the amended Terms.
API subscriptions renew on a monthly basis and may be terminated at the end of the billing period.
grapeminds GmbH may suspend or terminate access if payments fail, if misuse is detected, or if these Terms are violated.
Liability is governed by the AGB of grapeminds GmbH.
grapeminds GmbH assumes no liability for damages arising from improper or unauthorized use of the API.
No warranty is provided regarding the completeness, accuracy, or timeliness of API data.
The place of jurisdiction for all disputes arising from or related to the use of the API is Montabaur, Germany.
